Nothing on this Website constitutes a binding service agreement, contract, or commitment to provide services. The information presented is subject to change without notice.

Any engagement for IT services requires a separate Managed Services Agreement (MSA) or other written contract executed by both parties. Inquiries submitted through our contact form are requests for information only and do not create any service obligation on our part.

Cloud Solutions including Microsoft 365 management, Azure infrastructure, cloud backup, secure remote access, and cloud migration services. Managed IT Services including 24/7 system monitoring, helpdesk support, patch management, network management, vendor management, and strategic IT planning. Backup and Disaster Recovery including automated data backup, Microsoft 365 backup, rapid system restoration, business continuity planning, and regular recovery testing. Infrastructure Management including server management, network infrastructure, workstation management, hardware lifecycle management, and performance monitoring. Fractional Marketing services including lead generation, social media management, marketing campaigns, content strategy, email marketing, and strategic marketing planning.

The descriptions of services on this Website are for informational purposes only. The specific terms, scope, pricing, and conditions of any services are governed exclusively by the applicable client agreement or statement of work entered into between Lucid Orchid and the client.

All content on this Website, including but not limited to text, graphics, logos, images, icons, and software, is the property of Lucid Orchid or its content suppliers and is protected by Canadian and international copyright, trademark, and other intellectual property laws. 11. Governing Law

These Terms and your use of the Website shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree that any legal action or proceeding arising out of or related to these Terms or your use of the Website shall be brought exclusively in the courts located in Ontario, Canada, and you consent to the personal jurisdiction of such courts.

12. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Website, the parties agree to first attempt to resolve the matter through good-faith negotiation. Either party may initiate this process by providing written notice to the other party describing the nature of the dispute and the relief sought. The parties shall have thirty (30) days from the date of such notice to attempt to resolve the dispute informally. If the parties are unable to resolve the dispute through negotiation, either party may pursue resolution through the courts of Ontario, Canada, as provided in Section 11.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms. The remaining provisions shall continue in full force and effect, and the invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. When we make material changes, we will update the "Last Updated" date at the top of these Terms. Your continued use of the Website after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically for any changes.
